Terms of Service

These Terms of Service (“Terms”) are an agreement between you and ScorpEase LLC (“Keystead,” “we,” “us”) governing your use of Keystead Vault (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. What Keystead Vault is

Keystead Vault is a tool for organizing and storing business-continuity records — business details, contacts, providers, documents, deadlines, and successor instructions — and for sharing them with people you choose. It helps you keep information; it is a record-keeping tool, nothing more.

Not professional advice. Keystead Vault does not provide tax, legal, accounting, financial, or insurance advice, and nothing in the Service is a substitute for a qualified professional. Prompts, labels, reminders, and any AI-assisted field extraction are conveniences to help you organize your own information — you are responsible for its accuracy and for your own decisions. For advice about your specific situation, consult your CPA, attorney, or other advisor.

You retain all rights to the information and files you put into your vault (“Your Content”). You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you (including creating backups, generating exports, sending reminders, and performing the redaction and AI-assisted extraction described in our Privacy Policy). We claim no ownership of Your Content and will not sell it or use it to train AI models.

You represent that you have the right to provide Your Content and to share it with the people you invite, and that doing so doesn’t violate anyone’s rights or the law.

5. Sharing and invited users

The Service lets you grant others access to a vault (for example an advisor, successor, co-owner, or firm). You are responsible for who you invite and what you share with them. People you invite must also comply with these Terms. Only invite people you trust, and remove access when it’s no longer needed.

We work to keep the Service available and reliable, but we don’t guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features. If we plan to discontinue the Service entirely, we’ll give you reasonable notice and a way to export Your Content.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends; you can export Your Content before deleting your account, and deletion removes your vault contents as described in the Privacy Policy.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI-ASSISTED EXTRACTION IS ACCURATE. YOU ARE RESPONSIBLE FOR VERIFYING YOUR INFORMATION.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KEYSTEAD AND ITS OWNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold Keystead harmless from claims and expenses arising out of Your Content, your use of the Service, your sharing decisions, or your violation of these Terms or of any law or third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-laws rules. [Choose and have counsel draft your dispute-resolution approach — e.g., venue/jurisdiction, or an arbitration + class-action-waiver clause. This section has significant legal consequences.]

13. Changes to these Terms

We may update these Terms as the Service evolves. We’ll update the date above and, for material changes, give reasonable notice. Continuing to use the Service after changes take effect means you accept the updated Terms.
